<p>Just 100 days ago, when new Microsoft Gaming CEO Asha Sharma replaced long-serving executive Phil Spencer, she said she’d work to “understand what makes [Xbox] work and protect it.” Now, Sharma and Xbox Studios chief Matt Booty have laid out the many things that are <em>not</em> working for the Xbox brand in a brutal self-assessment the they say necessitates a wholesale “Xbox reset.”</p>
<p>The message sent to Xbox employees and shared publicly via Xbox Wire last night paints a grim picture for practically every facet of the Xbox division. That portion of Microsoft is currently only seeing a “3 percent accountability margin” (read: profit margin), down year over year and well below both the game industry average and the lofty 30 percent margins that Microsoft is reportedly seeking across the board.</p>
<p>It’s an underperformance, they write, born out of being “overextended” by moves like the $69 billion acquisition of Activision. That mega-merger came on top of $20 billion in spending on other acquisitions, platform investments, and hardware subsidies over the last five years, the executives write. But despite the spending spree, Microsoft’s overall gaming revenues are <em>down</em> nearly $500 million compared to five years ago.</p>
<p>While Microsoft has overinvested in acquisitions and platform spending, Sharma and Booty also admit that Xbox has “not adequately funded” the company’s “industry-defining franchises.” That has been somewhat apparent to anyone paying attention to the steady stream of studio-level layoffs and game cancellations coming out of Redmond, Washington, in recent years. And the company acknowledges that a “reliable pipeline of first- and third-party exclusives” is “critical to our success,” a notable change from the multi-platform strategy it pursued with gusto just a couple of years ago.</p>
<h2>Hardware is hard</h2>
<p>On the hardware side, Microsoft is facing the same surge in storage and RAM pricing as the rest of the industry. But the Microsoft executives also say they “believe we have been impacted more greatly than many of our peers due to the choices we made over the last half decade,” a vague but worrying statement about Microsoft’s specific console supply chain issues.</p>

<p>A successful Paramount-WBD merger would be the largest streaming merger ever and would lead to further consolidation in the industry.</p>
<p>“What started as a fragmented but flexible streaming ecosystem is increasingly trending toward rebundling—fewer, larger super-platforms offering broader catalogues at higher price points,” Mathur said.</p>
<h2>Paramount holds on to cable</h2>
<p>Paramount’s WBD bid is unique in its aggressive push for cable channels, which are struggling with viewership and advertising revenue. Under a WBD merger, Paramount would add networks like HGTV, Cartoon Network, TLC, and CNN to its linear TV lineup, which currently includes Comedy Central, Nickelodeon, and CBS.</p>
<p>Although Paramount and WBD’s cable businesses are both in decline, they are both profitable. Paramount’s TV/media business, which includes its cable channels and production studios, reported $1.1 billion in adjusted OIBDA in Q4 2025. WBD’s cable business posted adjusted EBITDA of $1.41 billion that quarter.</p>
<p>Ultimately, a Paramount-WBD merger would put diversity of viewpoints at risk. Under Ellison’s ownership, CBS News has adjusted its approach with new editor-in-chief Bari Weiss. There have also been concerns about censoring CBS under Ellison’s Paramount, including from Stephen Colbert, who said this month that CBS forbade him from interviewing Texas Democratic Senate candidate James Talarico; CBS denied Colbert’s claim. Further, Paramount could have a lasting impact on CNN, including costs, layoffs, and coverage.</p>
<h2>More to come</h2>
<p>Regulatory scrutiny will be at the center of Paramount and WBD’s merger over the upcoming months. Federal approval is likely, but the merger also faces European regulation and potential state lawsuits. The theater industry is also lobbying against Paramount’s WBD merger.</p>
<p>Should a Paramount-WBD merger ultimately be greenlit, two declining businesses will be challenged to form a profitable one. Even with regulatory approval, Paramount-Skydance-Warner-Bros.-Discovery faces an uphill climb.</p>
<p>Although the bidding war may be settled, the fight for WBD is only beginning.</p>
